Terms of Service

These Terms of Service ("Terms") govern your access to and use of BankerPipeline, including our website at bankerpipeline.com and all related services (the "Service"). By accessing or using the Service, you agree to be bound by these Terms.

1. Acceptance of Terms

By creating an account, submitting a demo request, or otherwise accessing the Service, you confirm that you have read, understood, and agree to these Terms. If you are using the Service on behalf of an organization (such as a bank, credit union, or financial institution), you represent that you have authority to bind that organization to these Terms.

2. Description of Service

BankerPipeline is a customer relationship management (CRM) platform designed for commercial bankers and financial institutions. The Service provides tools for:

  • Managing loan pipelines from application through funding
  • Tracking deposit accounts and customer deposit relationships
  • Customer and contact management with activity logging
  • Portfolio analytics and reporting

The Service is provided on an "as available" basis and may be updated, modified, or discontinued at our discretion.

3. User Accounts and Responsibilities

3.1 Account Security

You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to notify us immediately of any unauthorized use.

3.2 Accurate Information

You agree to provide accurate, current, and complete information when using the Service, including when submitting demo requests or creating account profiles.

3.3 Authorized Use

You agree to use the Service only for lawful business purposes related to banking, lending, and financial services operations. You may not use the Service for any purpose that violates applicable laws or regulations.

3.4 Banker Responsibilities

Bankers and lending officers using the Service are responsible for ensuring that any borrower or applicant data they enter is collected with appropriate consent and in compliance with applicable laws, including consumer protection and data privacy regulations. Bankers are also responsible for the accuracy of the information they input and for safeguarding any access credentials they share with team members.

3.5 Borrower Portal Access

BankerPipeline enables bankers to invite borrowers to a secure portal to submit documents and track application status. Borrowers who access the portal:

  • May access only their own loan application and related documents
  • Are prohibited from attempting to access other borrowers' data or any other part of the application beyond the portal
  • Acknowledge that their submitted documents and information will be stored and used by the sponsoring bank or financial institution for loan processing purposes
  • Should not share their portal link with unauthorized third parties

Borrowers' use of the portal is subject to these Terms. The banker or financial institution that invited the borrower is responsible for ensuring appropriate consent has been obtained.

4. Acceptable Use

You agree not to:

  • Use the Service to store or transmit malicious code, viruses, or harmful data
  • Attempt to gain unauthorized access to any part of the Service, other accounts, or connected systems
  • Use automated tools (bots, scrapers, crawlers) to access the Service without prior written consent
  • Reverse engineer, decompile, or disassemble any part of the Service
  • Resell, sublicense, or redistribute access to the Service without authorization
  • Use the Service in any way that could damage, overload, or impair our infrastructure
  • Upload or transmit data that violates any third party's intellectual property or privacy rights

5. Data Ownership

5.1 Your Data

You retain full ownership of all data you enter into the Service, including loan records, deposit information, customer data, contact information, and activity notes ("Your Data"). We do not claim any ownership rights over Your Data.

5.2 License to Operate

By using the Service, you grant us a limited, non-exclusive license to host, store, process, and display Your Data solely for the purpose of providing and improving the Service.

5.3 Data Portability

You may request an export of Your Data at any time by contacting us. We will provide Your Data in a standard, machine-readable format within a reasonable timeframe.

6. Privacy

Your use of the Service is also governed by our Privacy Policy, which describes how we collect, use, and protect your information. By using the Service, you consent to the data practices described in the Privacy Policy.

7. Intellectual Property

The Service, including its design, code, features, branding, documentation, and all related intellectual property, is owned by BankerPipeline and protected by applicable intellectual property laws. These Terms do not grant you any rights to our trademarks, logos, or brand elements.

8. Subscription and Billing

8.1 Pricing

BankerPipeline is offered at $20 per user per month. Pricing is per named user seat within your organization. There is no free trial. A paid subscription is required to access the platform.

8.2 Billing Cycle

Subscriptions are billed monthly. Your billing cycle begins on the date you first subscribe and renews automatically each month unless cancelled. All fees are charged in advance for the upcoming billing period.

8.3 Payment

Payment is processed via our payment processor at the time of subscription. You agree to provide accurate billing information and authorize recurring charges. If payment fails, access to the Service may be suspended until the outstanding balance is resolved.

8.4 No Refunds

All subscription fees are non-refundable unless otherwise required by applicable law. If you cancel mid-cycle, your access continues through the end of the paid period; no pro-rated refund is issued for unused time.

8.5 Changes to Pricing

We reserve the right to change subscription pricing at any time. We will provide at least 30 days' advance notice of any price increase. Continued use of the Service after a price change takes effect constitutes acceptance of the new pricing.

8.6 Cancellation

You may cancel your subscription at any time by contacting us. Upon cancellation, your account remains active through the end of the current billing period. After that, your access will be terminated and your data will be retained for 60 days to allow for export, then permanently deleted.

9. Service Availability and Modifications

  • We strive to maintain high availability but do not guarantee uninterrupted service. Scheduled maintenance and updates may cause temporary downtime.
  • We reserve the right to modify, update, or discontinue features of the Service at any time. We will provide reasonable notice for material changes that affect your use.
  • We are not liable for any loss or damage resulting from service interruptions, delays, or errors.

10. Limitation of Liability

To the maximum extent permitted by applicable law:

  • The Service is provided "as is" and "as available" without warranties of any kind, whether express, implied, or statutory.
  • We disclaim all warranties including, without limitation, warranties of merchantability, fitness for a particular purpose, and non-infringement.
  • In no event shall BankerPipeline be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, business opportunities, or goodwill.
  • Our total aggregate liability for any claims arising from or related to the Service shall not exceed the amount you paid us in the twelve (12) months preceding the claim.

11. Indemnification

You agree to indemnify and hold harmless BankerPipeline, its officers, directors, employees, and agents from any claims, losses, damages, liabilities, and expenses (including reasonable attorney's fees) arising from:

  • Your use of the Service
  • Your violation of these Terms
  • Your violation of any applicable law or regulation
  • Any data you enter into or transmit through the Service

12. Termination

  • You may stop using the Service at any time. To request account deletion and removal of Your Data, contact us at the address below.
  • We may suspend or terminate your access to the Service if you violate these Terms, engage in prohibited activities, or if required by law.
  • Upon termination, your right to use the Service ceases immediately. We will retain Your Data for a reasonable period to allow you to request an export, after which it will be deleted.

13. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of South Carolina, United States, without regard to its conflict of law provisions. Any disputes arising under these Terms shall be resolved in the state or federal courts located in South Carolina.

14. Changes to These Terms

We may update these Terms from time to time. When we make material changes, we will update the "Last Updated" date at the top of this page and, where appropriate, notify you through the Service. Your continued use of the Service after changes take effect constitutes acceptance of the revised Terms.

15. Severability

If any provision of these Terms is held to be invalid or unenforceable, that provision will be enforced to the maximum extent permissible, and the remaining provisions will remain in full force and effect.
